Terms and Conditions for Stockists of Jane Haigh Country Art Products

1. Introduction

These Terms and Conditions ("Terms") govern the sale of products ("Products") by Jane Haigh Country Art ("Seller") to its trade customers ("Buyer" or "You"). By placing an order with the Seller, the Buyer agrees to be bound by these Terms. The Seller operates as a sole trader and is not registered for VAT.

2. Order and Acceptance

2.1. All orders placed by the Buyer are subject to acceptance by the Seller. The Seller reserves the right to reject any order without the obligation to assign any reason for so doing.

2.2. The minimum order value for trade customers is £150. Orders below this amount will not be accepted.

3. Pricing and Payment

3.1. All prices for the Products shall be as specified by the Seller and are subject to change without prior notice. However, any changes will not affect orders that have already been accepted by the Seller.

3.2. Payment terms are strictly 30 days from the date of invoice, unless otherwise agreed in writing by the Seller. The Seller reserves the right to charge interest on overdue amounts at the rate of 4% above the Bank of England's base rate.

4. Delivery and Carriage

4.1. The Seller will arrange for the delivery of the Products to the Buyer's specified address. The risk of loss or damage to the goods shall pass to the Buyer upon delivery.

4.2. Carriage will be paid by the Seller on all orders over £250. For orders under this amount, the Buyer will be responsible for the cost of carriage.

4.3. Any dates quoted for delivery are approximate only, and the Seller shall not be liable for any delay in delivery of the Products however caused.

5. Title and Risk

5.1. Title to the Products shall not pass to the Buyer until the Seller has received payment in full for the Products and any other products that the Seller has supplied to the Buyer in respect of which payment has become due.

5.2. Until title to the Products passes to the Buyer, the Buyer shall hold the Products on a fiduciary basis as the Seller's bailee and keep them insured against all risks for their full price from the date of delivery.

6. Returns and Refunds

6.1. Claims for damaged goods or discrepancies must be made within 7 days of delivery. The Seller will not be responsible for any claims made after this period.

6.2. Goods returned without the Seller's prior written approval will not be accepted. Upon approval, goods must be returned in their original condition and packaging.

7. Limitation of Liability

The Seller shall not be liable to the Buyer in any manner or deemed to be in breach of these Terms because of any delay in performing, or any failure to perform, any of the Seller's obligations under these Terms if the delay or failure was due to any cause beyond the Seller's reasonable control.

8. General

8.1. These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

8.2. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

9. Amendment

The Seller reserves the right to amend these Terms at any time. Such amendments will not affect orders that have already been accepted by the Seller.
